PORTLAND CRICKET CLUB (PCC) BYLAWS - Updated January 2018

 

ARTICLE I: NAME

The name of this organization shall be the “Portland Cricket Club (PCC)” and its teams are “PCC-Spartans, PCC-Punjab 11, PCC - Warriors and PCC - Willows”.

ARTICLE II: VISION/MISSION STATEMENTS
Vision:

PCC is an amateur-level club born from a love and passion for cricket that welcomes all who value sportsmanship, camaraderie, and a shared sense of belonging.

Mission:

Through effective leadership, PCC will foster a financially stable, multi-cultural organization dedicated to promoting the game of cricket in Oregon for all within the local community, irrespective of gender, age, ethnicity, or disability. PCC will foster an environment that is enjoyable, welcoming, sociable and inspiring for all its members.

ARTICLE III: MEETINGS, QUORUM

Regular Club meetings shall be held each quarter, at a time and place to be determined by the President. The Annual Meeting shall be held during January of each calendar year. An agenda, Treasurer's Report, and any bylaw amendments to be considered shall be provided at least one week prior to the meeting. If a member cannot attend the Annual Meeting, he can vote via email.

The President shall convene a special meeting on his own motion or if he receives a request signed by at least 10 members for such a meeting, within 10 days of receiving such a request. The request shall specify the purpose for the special meeting, and only that issue may be addressed by the members at that special meeting.

At all duly convened meetings of the Club, five members shall constitute a quorum for the conduct of any business that shall properly come before that meeting.

 

ARTICLE IV: OFFICERS, DUTIES

A five-member board of directors shall direct the Club. Five people will serve as the Club board for the duration of the first calendar year. The terms for two of the five members will expire at the end of the first year, while the term of the three other members will expire at the end of the second year. Any vacancy in the board shall be filled by a majority vote of the remaining board members.

Following each Annual Meeting, the board shall elect, from its members, officers to serve one- year terms. Each officer will perform the duties described below:

1. President: The president shall preside at all meetings of the Club and direct the Club’s strategic planning and operations. The president shall also designate the team captain for all Social Club fixtures as well as set the social fixture schedule. The President shall perform such other duties as may be prescribed in these Bylaws.

2. Treasurer: The treasurer shall be responsible for the custody, investment, and disbursement of the Club’s funds, as well as providing such financial reports as the President requests at each club meeting. Disbursement for expenses over $100 shall be made only upon review and majority approval of the Club’s board.

3. Secretary: The secretary shall maintain minutes of any meeting of the Club and such other records as the President may direct, such as match reports and Club correspondence.

4. OCL Representative: The OCL representative shall maintain highlights of any OCL meeting and act as communications medium between the board and OCL on all decisions.

ARTICLE V: ELECTION OF OFFICERS, TERMS, VACANCIES

Officers shall be elected in accordance with Article IV. In the event of a vacancy in any office, a Club member shall be appointed by the President until the next regular meeting of the Club, at which time the board members present shall nominate and elect another board member to fulfill that officer’s unexpired term by a majority vote.

ARTICLE VI: DUES, TYPES OF MEMBERS

 

Dues shall be assessed annually. The board will determine the amount and structure of the dues in the following categories:

  • Regular Members: Regular members shall have all the rights and duties accorded any Club member

  • Student Members: Student members shall have the same rights and duties as a Regular Member, but must be a full-time student and less than age 30. Their dues will be 50% of the dues of Regular members.

ARTICLE VII: MEMBERSHIP, COMMITTEE

Membership shall be open to all persons who pay dues and subscribe to the purposes and guidelines of the Club.

ARTICLE VIII: LEAGUE CRICKET OFFICERS

The league cricket activities of the Club shall be directed by the following persons, as selected by the Club’s members at the Annual Meeting:

1. Captain: The Captain shall direct all cricket activities of the Club during all Oregon Cricket League (or it’s designate) matches. The Captain’s decision shall be final in all matters addressed during a match.

2. Vice-Captain: The Vice Captain shall perform the captain’s duties in the event of his absence or as directed by the Captain.

ARTICLE IX: CODE OF CONDUCT

During any and all official Club functions, members shall conform to the following guidelines, or be subject to disciplinary action:

  • Members will arrive on-time for all Club activities, including matches and practices.

  • Members shall wear appropriate attire for all matches, as determined by OCL.

  • Members will comply with directions, instructions, and decisions of the Captain and match umpires, including local ground rules. For example:

  • Intoxication (alcohol consumption) is prohibited on the field.

 

  • Members will conduct themselves as gentlemen during all Club functions, including refraining from aggression or threats against opposing players, as well as attempting to obtain or take unfair advantage of opposing players. Appeals and questions of an umpiring decision shall be directed through the Captain or his appointed representative on the field.

  • Members shall comply with the provisions of these bylaws.

  • Members will respect the rights, dignity and worth of every person/player/umpire on the field.

  • Members will refrain from using foul language on the field and obey the rules of the ground that the game is being played on.

ARTICLE X: PARTICIPATION IN MATCHES

Only Club members may represent the Club in any match. If unpaid players are selected to play in the team, the selection committee shall owe the club the dues of that person. Selection of the members to represent the Club in league matches shall be made by a panel comprising of the Captain, Vice-Captain and a BOD member. Selection criteria for league matches include availability, participation and performance in practice sessions, and willingness to help out in non-playing activities required by the Club (e.g. umpiring duties, set up and take down match and practice equipment).

ARTICLE XI: GRIEVANCE PROCEDURES

Any member who does not agree with the decision of any Club officer may appeal that decision to the full board, who shall discuss said objection at the next regularly called board meeting. The board may then, by simple majority vote, uphold, amend, or overturn the officer’s decision. If the initial decision is upheld, the member can appeal that decision to the full membership attending any regular or special meeting, who can uphold or reverse the officer’s decision by a majority vote of the members present.

ARTICLE XII - AMENDMENTS

Any provision of these Bylaws may be amended by a 2/3 vote of the members present at any regular or special meeting.
